Terms and Conditions of registering and using Eximbank cards with e-Wallet
The content of these Terms and Conditions applies to the Cardholder when registering and using Eximbank Card on the international e-Wallet. By confirming “Agree” or “Agree” on the add Card screen, the Cardholder acknowledges that he has read, understood and accepted to be bound by these terms and conditions.
Article 1. Interpretation of terms:
1. “Eximbank”: is the Vietnam Export Import Commercial Joint Stock Bank including its affiliated Branches and Transaction Offices.
2. “Eximbank EDigi”: is an application developed by Eximbank, installed and used on mobile devices (including smart mobile phones and smart mobile devices) with Internet connection, allowing Users to search and promptly update offers from Eximbank, pay for goods and services, transfer money, withdraw cash at Eximbank ATMs and use other services provided by Eximbank from time to time.
3. “International E-Wallet Provider”: is a multinational technology corporation headquartered outside of Vietnam, providing non-physical card payment services in cooperation with Eximbank from time to time.
4. “Card”: is a Card issued by Eximbank, meeting the conditions and registered and used by the Cardholder for payment on the International E-Wallet.
5. “Cardholder”: is an individual provided with a Card by Eximbank for use.
6. “International E-Wallet”: is a form of non-cash payment or physical card exclusively for Users to use on supported electronic devices. This feature allows the Cardholder to add an Eximbank Card to the International E-Wallet on other supported devices from time to time to make payment for goods and services at Card Accepting Units/websites/applications that support payment by International E-Wallet.
7. “Compatible Electronic Devices (or Mobile Devices)”: are smart devices manufactured by the International E-Wallet Provider, with an International E-Wallet installed (including but not limited to phones, watches, tablets, computers, etc.). In the case of direct payment for goods and services at the Merchants, the Mobile Device must integrate near-field communication technology (NFC).
8. “Card Accepting Unit” or “Membership”: is an organization that accepts payment for goods and services by Card according to the Card Payment Contract signed with the Card Payment Organization (Acquirer).
9. "Eximbank EDigi Password": is the password to log in to the Cardholder's Eximbank EDigi account when registering to use the Eximbank EDigi application, including but not limited to character passwords, faces, fingerprints, etc.
10. "One-time password" or "OTP": is a password that is valid for one use and is valid for a certain period of time, used as a second factor to authenticate the user and is provided by Eximbank to the Cardholder by methods appropriate to each transaction and service that the Cardholder performs (such as SMS messages sent to the phone number that the Cardholder has registered with Eximbank, Smart OTP of Eximbank EDigi, ...). The Cardholder agrees that the use of OTP authentication measures has the same value as the Cardholder's handwritten signature on the original document.
11. “Personal Password”: is the password set by the Cardholder to log in/use the Mobile Device, the International E-Wallet application or the Eximbank EDigi application, including but not limited to character passwords, faces, fingerprints, etc.
12. “Other cardholder verification codes”: are codes or any method other than the password used to verify the cardholder’s identity to protect the account and authenticate transactions.
13. “Card Usage Limit”: is the payment limit, transfer limit, cash withdrawal limit and other transaction limits in the use of the Card.
14. “Personal data protection policy”: a document issued by Eximbank/International E-Wallet for the purpose of publicly regulating the collection, use, security, provision and processing of personal data at Eximbank/International E-Wallet.
Article 2. Conditions for using the International E-Wallet
1. The card added to the International E-Wallet must fully satisfy the following conditions: (i) conditions specified by Eximbank in the Terms and Conditions or the Agreement on issuance and use of Eximbank Cards in each period; and (ii) conditions specified by the International E-Wallet (if any).
2. To use the International E-Wallet for the purpose of paying for goods and services, the Cardholder must use a Mobile Device with valid security factors at the Merchants accepting transactions via electronic payment methods: (i) Merchants directly, or (ii) Merchants accepting near-field communication technology (NFC), or (iii) payment by other methods approved by Eximbank and notified to the Cardholder in each period.
3. To make Card transactions on the International E-Wallet, the Cardholder must add the Card to the International E-Wallet by adding it directly on the International E-Wallet application or through the Eximbank EDigi application depending on the scope of implementation of Eximbank in each period. Eximbank has the right to decide the types of Cards that are allowed to be registered, added and used on the International E-Wallet and will update and supplement them from time to time. The Cardholder has the right to choose any eligible Eximbank Card of the Cardholder to add to the International E-Wallet. At the same time, the International E-Wallet Provider and/or Eximbank has the right to automatically update the electronic payment information (token) of the Card after the Card is replaced/renewed.
4. When the Cardholder adds the Card to the International E-Wallet, Eximbank will evaluate and use appropriate authentication measures using the information the Cardholder has previously registered with Eximbank. However, the International E-Wallet has the sole discretion to authenticate the Cardholder and Eximbank is exempted from liability in case the International E-Wallet fails to perform authentication measures when adding the Card to the International E-Wallet.
5. If 01 Card is added to the International E-Wallet on more than 01 Mobile Device, by performing the Cardholder authentication measures as prescribed by Eximbank, the Cardholder acknowledges that the addition of the Card is performed by the Cardholder himself/herself or by a person authorized/permitted by the Cardholder and the Cardholder is responsible for all transactions made via the International E-Wallet payment method by the Cardholder or by such person authorized/permitted by the Cardholder. In addition, these Terms and Conditions are by default applicable to the person authorized/permitted by the Cardholder.
6. In case of necessity, when the Cardholder adds a Card to the International E-Wallet, Eximbank and/or the International E-Wallet Provider has the right to apply additional authentication measures to ensure accuracy, safety, security and limit risks. The International E-Wallet Provider has the full right to decide when to request authentication and not to allow the Cardholder to add a card on the International E-Wallet.
7. Card transactions via the International E-Wallet may not be accepted at all POS.
8. The card transaction history displayed in the International E-Wallet Application only reflects Eximbank's authorization for transactions on the Cardholder's International E-Wallet Application and may not reflect complete information about the transaction as well as any post-authorization activities, including but not limited to transaction transfer, foreign currency conversion, transaction cancellation, refund or reimbursement. Accordingly, the transaction amount, currency and other details for the transaction history on the International E-Wallet Application related to the Cardholder's use of the Card may be incomplete and may not match the final transaction amount recorded on the Cardholder's monthly Card statement or Account statement. The Cardholder's monthly Card statement or Account statement shall prevail in the event of any conflict with the Card transaction information on the International E-Wallet Application.
Article 3. Management of Cards, Mobile Devices and International E-Wallets
1. At any time, the Cardholder must keep the Mobile Device using the International E-Wallet secure and not disclose the Personal Password, other Cardholder identification codes, OTP, other transaction authentication methods.
2. In case the Cardholder loses the Mobile Device using the International E-Wallet or suspects that the Card information has been disclosed or the Mobile Device/information is used by someone other than the Cardholder/person authorized by the Cardholder, the Cardholder must immediately notify Eximbank to take timely measures. The Card is locked in accordance with the provisions of the Terms and Conditions or the Minutes of Agreement on Card issuance and use of Eximbank. After the Card is locked by Eximbank, the Cardholder cannot use the Card to make Card transactions, including transactions on the International E-Wallet.
3. The authentication method on the International E-Wallet is performed using the technology available on the Cardholder's Mobile Device. Therefore, the Cardholder acknowledges that Eximbank has no control over the technology, readiness, availability, features, authentication methods, security and synchronization on the Cardholder's Mobile Device. The Cardholder is responsible for all transactions made via the International E-Wallet payment method and authenticated using the Personal Password or other authentication method chosen by the Cardholder on the Cardholder's devices.
4. Eximbank shall not be liable for any interruption, impact, delay, cancellation, or inability to perform the Cardholder's payment transactions arising in the event of war, invasion, foreign attack, revolutionary rebellion, riot, civil war, disorder, requisition, or civil or military acts, laws, regulations, acts or orders of any government agency, mechanism, intermediary or official, embargo, natural disaster, fire, severe weather, flood, strike, epidemic (from any cause), or other events, force majeure that the parties cannot foresee and cannot overcome.
5. The Cardholder shall be liable for any direct or indirect damages arising from or related to:
a. The Cardholder authorizes/allows others to use the Card/Mobile Device/International E-Wallet/Eximbank EDigi or access information related to the Card/Cardholder/Mobile Device/International E-Wallet/Eximbank EDigi including but not limited to Personal Password, other Cardholder confirmation codes, OTP, other transaction authentication methods.
b. The Cardholder loses the Mobile Device, loses or discloses information related to the Card/Cardholder/Mobile Device/International E-Wallet/Eximbank EDigi.
c. Errors from the International E-Wallet, and/or other parties involved in the process of registering to use the Card on the International E-Wallet.
d. The Cardholder fails to promptly notify Eximbank of any changes in information compared to the information registered with Eximbank.
e. The Cardholder's Mobile Device is defective or damaged.
f. Any interruption, delay, inertia, unavailability or any incident occurring during the registration and use of the Card on the International E-Wallet due to reasons beyond Eximbank's control or determined to be not caused by Eximbank's fault.
g. Any force majeure event beyond Eximbank's control.
Article 4. Card Usage Limits and Fees
1. Except where the International Electronic stipulates otherwise on the Card usage limit, the limit will be applied according to the limit registered by the Cardholder and/or as notified by Eximbank from time to time.
2. In case the International Electronic Wallet Provider collects fees when the Cardholder registers and uses the Card on the International Electronic Wallet, the fee collection shall be implemented in accordance with the provisions of the Terms and Conditions for card issuance and use or the Minutes of Agreement for issuance and use of Eximbank cards respectively in each period.
3. The Cardholder is responsible for any arising costs including but not limited to the costs of downloading/using the Application as prescribed by the International Electronic, or related to services provided by a third party to support the use of the International Electronic Wallet Application (including but not limited to network usage fees). The Cardholder agrees that Eximbank is not responsible for resolving issues arising from the costs specified in this Clause.
Article 5. Provision of information
1. The Cardholder agrees that Eximbank is entitled to send notices to the Mobile Device used to make transactions, via email, Eximbank EDigi, etc. registered by the Cardholder with Eximbank. Any notice sent by Eximbank may be deemed to have been received by the Cardholder (i) at the time of delivery if delivered in person, or delivered to the registered address, or (ii) on the third day after the date of sending if sent by post or (iii) at the time of sending if sent by email, notification on Eximbank EDigi or any of Eximbank's electronic banking applications, fax or telex, or (iv) at the time of posting, announcement (or the time Eximbank specifies in that notice) if posted at Eximbank's headquarters or at Eximbank's transaction locations, or announced on Eximbank's official website.
2. The registration and use of the Card on the International E-Wallet will require the provision of certain information to the parties involved in the transaction. Therefore, the Cardholder acknowledges that this information is provided by the Cardholder or a person authorized/permitted by the Cardholder, and the use and disclosure of this information is governed by the privacy policies of the parties involved in the transaction.
3. The Cardholder or a person authorized/permitted by the Cardholder confirms that: (i) The Cardholder has been provided with the Personal Data Protection Policy of the parties by Eximbank and the International E-Wallet; The Cardholder has read and clearly understood the Personal Data Protection Policy and his/her rights and obligations regarding the data provided to Eximbank and the International E-Wallet; (ii) Commits to fully comply with the provisions of the Personal Data Protection Policy and legal regulations; (iii) Agree to all terms and conditions on personal data protection of Eximbank and the amended contents from time to time; (iii) Agree to allow Eximbank and the International E-Wallet to process the personal data provided by the Cardholder for the purpose of making payment transactions on the International E-Wallet on the basis of compliance with the "Personal data protection policy" of Eximbank and the International E-Wallet from time to time.
Article 6. Suspension/Termination of Use
1. Eximbank may, at any time, terminate, amend, supplement, cancel, replace, or adjust any provision of these Terms and Conditions provided that Eximbank notifies by one of the methods selected by Eximbank 07 days prior to the effective date of the new Terms and Conditions.
2. The Cardholder agrees that, in the event that Eximbank detects a fraudulent/forged transaction, or the International E-Wallet Application or card is used for an improper purpose, or in the event that it is requested by a competent State agency in Vietnam or as required by law, Eximbank, without prior notice to the Cardholder, shall (i) terminate the use of any Eximbank Card of the Cardholder added to the International E-Wallet Application; (ii) modify or suspend the currency or transaction amount allowed to use the Eximbank Card in connection with the International E-Wallet Application payment method, (iii) change the implementation process for adding Cards to the International E-Wallet Application, (iv) suspend or terminate the use of Cards on the International E-Wallet Application
3. Eximbank has the right to terminate its cooperation with the International E-Wallet Provider at any time and has the right to specify the maximum number of Eximbank Cards that can be added to the International E-Wallet Application by sending a notice to the Cardholder in accordance with Article 5 above. Eximbank's termination of its cooperation with the International E-Wallet means that Eximbank terminates the validity of these Terms and Conditions.
4. The Cardholder cannot change these Terms and Conditions, but the Cardholder can terminate the use of the Card on the International E-Wallet at any time by deleting all Eximbank Cards from the International E-Wallet Application. Deleting the Eximbank Card from the International E-Wallet Application does not exempt the Cardholder from responsibility for transactions made by the Cardholder on the International E-Wallet Application before the time the Cardholder terminates the use of the card on the International E-Wallet Application.
Article 7. Governing Law and Dispute Resolution Agency
These Terms and Conditions are governed by Vietnamese law. Disputes that cannot be resolved by negotiation will be resolved at a competent Court.
Article 8. Other provisions
1. Eximbank has the right to amend and supplement these Terms and Conditions. Amendments and supplements will be binding if the Cardholder continues to use the service after the amendments and supplements take effect. Such amendments and supplements will only be effective when Eximbank notifies the Cardholder at least 07 days before they take effect.
2. In case the Cardholder does not agree with these Terms and Conditions and the amended and supplemented Terms and Conditions, the Cardholder may terminate the use of the International E-Wallet Application by deleting all Cards from the International E-Wallet Application within 7 days from the date Eximbank sends the notice. In case the Cardholder continues to use the Card on the International E-Wallet Application after the effective date of the amendment, it is considered that the Cardholder has agreed to the amended Terms and Conditions and this will be the final evidence that the Cardholder has accepted to be bound by these amendments.
3. Eximbank allows the Cardholder to use the International E-Wallet, which means that Eximbank accepts the Cardholder to use the Card on the International E-Wallet Application to make transactions to purchase goods and services.
4. In addition to these Terms and Conditions, the Cardholder and the person authorized/permitted by the Cardholder must comply with the Terms and Conditions and the Minutes of Agreement on issuance and use of the Card of Eximbank from time to time.
